Sirius gives Howard Stern $83 million bonusSatellite radio star's reward comes on top of his $500 million pay packageNEW YORK - Sirius Satellite Radio paid shock jock Howard Stern a bonus worth nearly $83 million Tuesday for surpassing subscriber goals set in a 2004 contract that had already turned heads with its $500 million compensation package. The freewheeling and ribald Stern joined Sirius one year ago, jumping from the FM dial where he rose to become one of radio’s biggest stars but frequently bridled at government indecency regulations and ties with his corporate bosses. His defection marked a turning point for the nascent business of satellite radio, with both Sirius and larger rival XM Satellite Radio paying millions more to sign on other talent and attract listeners to their subscriber model. Sirius had roughly 600,000 subscribers when it signed Stern in 2004 for a contract valued at $500 million over five years. At the time, analysts had forecast the company would grow to about 3.5 million subscribers by the end of 2006. Sirius and Stern agreed to an added bonus in the event that the number of subscribers exceeded that forecast by more than 2 million. Last week, the company reported that it ended 2006 with more than 6 million subscribers, at the middle of a forecast range made in December, triggering the bonus payment of about 22.1 million shares. Sirius closed at $3.76 on Tuesday. “The decision to bring Howard Stern to Sirius required a very significant commitment and we are very pleased that our investment has dramatically paid off,” Sirius Chief Executive Mel Karmazin said in a statement. Sirius said the bonus to Stern would not increase its diluted share count and that expenses related to the payment have been reflected in operating results throughout 2006. Both Sirius and XM are growing rapidly, but losing money as they aim to improve their technology and sign on top-shelf entertainment, from the largest U.S. sports leagues to celebrities like Stern, Oprah Winfrey and Martha Stewart. Sirius and XM shares have also shed more than 40 percent of their value in the last year, compared with a 10 percent rise in the Standard & Poor’s 500 Index, with investor concerns ranging from the ability to meet new subscriber targets to a weak retail sector. Stern’s contract with Sirius offers additional stock-based bonuses for exceeding subscriber targets on an annual basis, but the threshold grows increasingly higher over time and is substantially greater than 2 million. That makes it less likely the radio host would qualify for another bonus going forward unless Sirius posts tremendous new growth. Sirius shares were down slightly at $3.75 shortly after the Nasdaq’s open on Tuesday.

'Howard' discards Penny to trim costs
Change is in the air at Howard 100 and Howard 101 on Sirius Satellite Radio.
For starters, correspondent Penny Crone has left Howard Stern's "Howard 100 News" on Sirius Satellite Radio because of budget cuts, according to sources.
George Flowers has also departed.

I used to be a big fan of Stern on "terrestrial" radio. I am currently an XM subscriber, but am thinking of getting Sirius as well, mainly for Howard. I miss being able to listen to him and think he'd be a good way to start my mornings.

Howard Stern now engaged girlfriend Beth OstroskyNEW YORK -- Howard Stern is engaged to Beth Ostrosky, the veteran shock jock announced on his radio program this morning. Stern, who divorced his first wife Alison in 1999 after some 20 years of marriage, has repeatedly said he would never get married again. He denied rumors of marriage as recently as last week. Stern, 53, left commercial radio in 2005 and joined Sirius Satellite Radio, where his morning radio show is aired "uncensored." He starred in the 1997 motion picture "Private Parts," based on career, which launched in Hartford. Much of the film focused on his relationship with his first wife. In typical Stern fashion, he joked today that he removed Ostrosky's uterus to guarantee the couple will not have children. "I see my married friends with children and it seems like absolute torture to me," Stern said this morning.

Artie Lange walks off the Howard Stern ShowHoward Stern Show fixture Artie Lange walked out of the studio after an argument and subsequent outburst at his personal assistant on the air. Lange, who became a part of the show's daily routine in October of 2001, was spotted disputing with his assistant in the hallways off the air. When it was brought up to Stern, he asked Teddy to come into the studio and discuss the situation on the air. Lange began to express his disdain for his assistant of nearly two years because of recent money issues. Teddy retorted by implying there's more to the job than meets the eye. The two are slated to travel to Amsterdam this evening and the squabble began over setting up Lange's travel accommodations. However, the in-studio dispute quickly escalated into a discussion about how much Lange finances Teddy, who is affectionately called "Teddy Microphone" around the studio. As the argument continued, Lange became enraged and physically lashed out at Teddy, but the physical confrontation was apparently diffused by other members in the studio. When Lange returned, he said Teddy would be "dead" had he reached him and he'd be in jail. Stern then expressed his feelings on the situation, saying he cannot condone Lange's actions. The comedian, who has had a similar outburst on the air in the past, said he cannot guarantee he can refrain from acting out in the future. Upon hearing that, Stern said he cannot have Lange around with the potential of such actions looming. Artie then offered his resignation, Stern accepted, but told Lange to leave and cool off. Just before Lange left he told Stern: "I'm not a good person ... I gotta leave ... I love you" Teddy returned to the studio several minutes later and said there was overreacting from everyone, but did not downplay the seriousness of the situation. Show producer Gary Dell'Abate came in to analyze the situation, but he and Stern admitted they "did not know what to make of it all." "Say it ain't so Baby Gorilla!!!!"

Sirius and XM Satellite Radio Complete Merger
Yahoo! News reports: XM Satellite Radio and Sirius Satellite Radio said Tuesday they have completed their long-pending merger.
The combined company plans to use the name Sirius XM Radio Inc. Its stock will continue to be traded on the Nasdaq under the ticker symbol SIRI. They first announced their deal in March 2007.
XM shareholders will receive 4.6 shares of Sirius common stock for each share of XM.
The combined company reaffirmed its guidance for the deal in a statement. It expects cost savings of about $400 million in 2009 and to post earnings before interest, taxes, depreciation and amortization of more than $300 million. It also plans to achieve positive cash flow, before satellite capital expenditures, in 2009.
The corporate headquarters will be located in New York, and XM Satellite Radio will remain headquartered in Washington, D.C.
The new company said it has 18.5 million subscribers.

Howard Stern Enlists In "Rock 'n' Roll High School"
Howard Stern is producing a remake of the 1979 comedy "Rock 'n' Roll High School" reports Variety.
The original followed a group of rebellious students who, with the help of punk rock band the Ramones, thwarted a repressive, rock-music-hating principal.
"Bill & Ted's Excellent Adventure" actor Alex Winter has been hired to script the new version.
Stern remains attached to a remake of the raunchy Bob Clark-directed 1982 comedy "Porky's".

Sirius XM Radio Gives Merger Update, Unveils "Best Of Both" Programming
The merged Sirius XM Radio provided new guidance for the company's fiscal future, along with a breakdown of future synergies and more. Under the new guidance, the satcaster expects to end the year with a combined 19.5 million subscribers, with approximately 21.5 million by the end of 2009. Pro forma revenue is expected to reach $2.4 billion in 2008, and approximately $2.7 billion in 2009. Sirius XM expects a pro forma adjusted EBITDA loss of approximately $350 million in 2008 and reiterated its previously stated financial guidance of approximately $300 million in positive adjusted EBITDA for 2009.
Sirius XM is increasing its estimate of net synergies to $425 million in 2009. "We have made great strides over the last six weeks and continue to make progress integrating the company and delivering on our promises to customers and stockholders," said Mel Karmazin, CEO of Sirius XM Radio. "We are finding significant cost savings on every line item of the P&L and are beginning to realize these synergies already. Sirius XM also continues to be one of the strongest growth stories in media, with pro forma revenue growth of approximately 17 percent in 2008."
Sirius XM has also announced the lineup for its "Best Of Both" programming, which allows selected access for Sirius subscribers to XM channels and vice versa. Subscribers will also be able to purchase access to the follow channels:

We are very excited to begin offering existing and prospective listeners access to even more compelling programming and new packages."
"Best of Both" programming will be available to satellite radio consumers beginning October 6 for $16.99/month. Also, the company's full slate of new packages will be available that day, including the opportunity to choose programming on an a la carte basis.
